Mergers & Acquisitions (M&A) Lawyer – UK Experience
Job Description
We are seeking an experienced Mergers & Acquisitions (M&A) Lawyer with 4+ years of post-qualification experience and a strong background in advising on mergers, acquisitions, corporate restructures, joint ventures, and private equity transactions. The ideal candidate will have hands-on experience working within the UK legal framework, either through professional practice or formal legal education.
This role involves supporting international clients on a broad range of corporate transactions, conducting legal due diligence, drafting and negotiating transaction documents, and providing commercially focused legal advice throughout the deal lifecycle.
Responsibilities
- Advise clients on mergers, acquisitions, disposals, joint ventures, and other corporate transactions.
- Draft, review, and negotiate transaction documents, including Share Purchase Agreements (SPAs), Asset Purchase Agreements (APAs), Shareholders' Agreements, Disclosure Letters, and ancillary agreements.
- Conduct comprehensive legal due diligence and prepare due diligence reports.
- Coordinate transaction closings and manage completion processes.
- Advise on corporate governance matters and post-completion obligations.
- Liaise with clients, counterparties, financial advisers, and other external stakeholders throughout transactions.
- Conduct legal research on UK corporate and commercial law and monitor regulatory developments affecting M&A transactions.
- Support senior lawyers and clients in managing multiple transactions simultaneously while meeting tight deadlines.Qualifications
- Bachelor's Degree in Law (LLB or equivalent) and admission to practice in a recognized jurisdiction.
- 4+ years of post-qualification experience in Corporate/M&A law.
- Demonstrated experience advising on UK M&A transactions and corporate matters.
- Strong understanding of UK Companies Act 2006, corporate governance principles, and transaction processes.
- Experience drafting and negotiating corporate transaction documents, including SPAs, APAs, Shareholders' Agreements, and Disclosure Letters.
- Excellent legal drafting, analytical, negotiation, and communication skills.
- Ability to manage multiple transactions in a fast-paced, remote working environment.
- Experience working with international or cross-border transactions is highly desirable.
